Terms of Service

1. Agreement

By accessing or using BamChat, bamisOS Business, bamisOS Hotels, or Bamiride (collectively, the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and legally capable of forming a binding contract. Use of wallet features requires Nigerian residency and valid BVN/NIN for KYC.

3. Accounts

You are responsible for safeguarding credentials. Notify us immediately of unauthorised access. We may suspend accounts for suspicious activity, terms violation, or legal compliance.

4. Service Descriptions

• BamChat: Messaging, wallet, mini-apps. Wallet is a stored-value instrument, not a bank account.
• bamisOS Business: CRM, invoicing, WhatsApp front-desk, leads management for SMEs.
• bamisOS Hotels: PMS, channel manager, booking engine for hospitality.
• Bamiride: Demonstrational ride-bidding PWA. No real bookings, payments, or driver dispatch.

5. Wallet & Payments (BamChat)

Wallet top-ups, transfers, and gifts are processed via integrated payment partners. We are not a bank; funds are held by licensed partners. MFA is required for transfers and gifts. Transactions are irreversible once confirmed.

6. Intellectual Property

All rights in the Services (code, design, trademarks "Bamistech", "BamChat", "bamisOS", "Bamiride") remain with Bamistech Limited. You receive a limited, revocable licence to use the Services per these Terms.

7. Acceptable Use

You will not: (a) reverse-engineer, scrape, or exploit the Services; (b) send spam, malware, or illegal content; (c) impersonate others; (d) violate Nigerian law (including NDPR, CBN regulations, Cybercrimes Act).

8. Fees & Billing

bamisOS Business and bamisOS Hotels are subscription services. Fees are non-refundable except as required by law. Wallet top-up fees are set by payment partners. Late payments may incur service suspension.

9. Disclaimers

Services are provided "as is" and "as available". We do not guarantee uninterrupted, error-free, or secure operation. The Leakage Estimator provides indicative ranges only, not financial advice or guarantees. Bamiride is a demo; no real transport service is offered.

10. Limitation of Liability

To the maximum extent permitted by law, Bamistech is not liable for indirect, incidental, or consequential damages. Total liability is capped at fees paid in the preceding 12 months (or ₦100,000 for free tiers).

11. Termination

You may close your account anytime. We may terminate for breach, inactivity (>12 months), or legal requirement. Wallet balances are refunded per CBN guidelines on closure.

12. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes resolved in Lagos State courts. Arbitration available by mutual agreement.

13. Changes

We may update these Terms with 30 days' notice via email and in-app. Continued use constitutes acceptance.
